Terms of Service

Vortif AI(“Vortif”, “we”) is a non-custodial analytics interface for tokenized equities on Robinhood Chain. It reads public blockchain state for an address you connect, combines it with third-party market data, and presents analysis.

Vortif is not a broker-dealer, exchange, custodian, transfer agent, or investment adviser, and is not registered as any of those with any regulator. Nothing in the service is financial advice. We never take custody of your assets, never hold your keys, and never execute trades on your behalf. See Risk Disclosures.

You must be at least 18 years old and legally capable of entering into these terms. You may not use Vortif if you are barred from doing so under applicable law, including sanctions law, or if your use of tokenized securities is unlawful where you live.

You are responsible for your own compliance. We do not determine whether a given instrument is lawful for you to hold, and the availability of the service in your location is not advice that your use of it is permitted.

Vortif has no user accounts. Your wallet is your identity. Connecting shares only your public address; it does not grant us any authority over your assets and does not create an approval or allowance.

You are solely responsible for your wallet - including your keys, your seed phrase, your device security, and every transaction you sign. We cannot reverse a transaction, recover a lost key, or restore access. We will never ask for your private key or seed phrase; anyone who does is attacking you.

You agree not to:

• Use Vortif for unlawful purposes, including market manipulation, fraud, money laundering, or sanctions evasion.
• Scrape, spider, or automate access to the service in a manner that degrades it or exceeds documented rate limits. Our upstream providers impose hard limits and abuse breaks the service for everyone.
• Probe, breach, or circumvent security controls, or access data belonging to others without authorization.
• Reverse-engineer the service to extract provider credentials, or use our provider keys for your own purposes.
• Misrepresent Vortif’s output as advice from a licensed professional, or resell it as such.

We may suspend or restrict access that we reasonably believe violates these terms or threatens the service.

Vortif depends on third parties - market data providers, news providers, block explorers, node providers, model providers, and the chain itself. We do not control them and are not responsible for their accuracy, availability, or conduct.

Data may be delayed, cached, incomplete, or wrong. Links to third-party sites and protocols are not endorsements. Interacting with any protocol through Vortif is a relationship between you and that protocol, governed by its terms and its risks - not ours.

The advisor and insights desks generate output using a large language model. Such output may be inaccurate, incomplete, or misleading, even when it cites your positions. It is informational only, is not advice, and must not be relied upon without independent verification. You are responsible for anything you do on the basis of it.

The Vortif interface, brand, and original content are ours or our licensors’. These terms grant you a limited, revocable, non-exclusive, non-transferable licence to use the service for your own personal or internal business purposes. All other rights are reserved.

Public blockchain data is not ours. Third-party data remains subject to its providers’ terms - including attribution requirements we display in the interface.

To the maximum extent permitted by law, Vortif and its operators will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or any trading losses, liquidations, missed corporate actions, unexercised voting rights, or lost digital assets arising out of or relating to your use of the service - whether based in contract, tort, strict liability, or otherwise, and even if we have been advised of the possibility of such damages.

To the extent liability cannot be excluded, our total aggregate liability is limited to the greater of the amount you paid us for the service in the twelve months preceding the claim, or one hundred US dollars (US$100).

Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you. Nothing here excludes liability for fraud or for anything that cannot lawfully be excluded.

You acknowledge that you have read the Risk Disclosures and that you knowingly assume the risks described there - including that a tokenized equity may confer no shareholder rights, that smart contracts can fail, and that collateralized positions can be liquidated without notice.

You agree to indemnify and hold us harmless from claims, losses, and expenses (including reasonable legal fees) arising from your use of the service, your violation of these terms, or your violation of any law or third-party right.

We may modify these terms. Material changes will be reflected in the “last updated” date above, and continued use after a change means you accept it. We may modify, suspend, or discontinue any part of the service at any time.

You may stop using Vortif at any time by disconnecting your wallet. Because we hold no custody and no account, nothing of yours is withheld when you do.

These terms are governed by the laws of the jurisdiction in which the operating entity is established, without regard to conflict-of-laws rules. The courts of that jurisdiction have exclusive jurisdiction over disputes, except where mandatory consumer-protection law in your country of residence grants you the right to bring proceedings locally.

If any provision is held unenforceable, it will be limited to the minimum extent necessary and the remainder will stay in force.
